Acceptance of Terms

By accessing the website or using the online scheduling platform of The Healthy Place Clinic (“Clinic”, “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions (the “Terms”). These Terms apply to all website visitors and users. If you do not agree with these Terms, do not use our website. At its sole discretion, The Healthy Place Clinic may discontinue or block any visitor’s access to the Website. We reserve the right to update or modify these Terms at any time. We will post the latest version on our site, and continued use of the site or services after changes means you accept those changes.

Scope of Services

The Healthy Place Clinic is a functional and integrative medicine clinic offering specialized wellness services, including diagnostic lab testing (e.g., functional lab panels), therapeutic treatments (IV therapy, red light therapy, PEMF), and complementary modalities (chiropractic adjustments, craniosacral therapy, myofascial release, lifestyle and health coaching). We treat both adults and children, with particular expertise in Lyme disease care.

We are not a primary care clinic, and our services are intended to complement (not replace) care provided by your primary care physician

Although The Healthy Place Clinic is a healthcare practice, The Healthy Place Clinic’s conduct on this website does not constitute the practice of licensed healthcare services or any other licensed service. The website is offered only for educational purposes, based upon our proficiency in, knowledge of, and experience with the topics provided. The content of the website does not constitute professional advice and is not intended to be a substitute for professional advice, diagnosis, or treatment. It is further not intended to (i) replace a one-on-one relationship with a qualified healthcare professional, (ii) create a provider-patient relationship or a collaborative relationship, or (iii) create a duty for us to follow up with you.

We operate both in-person at our Wisconsin clinic and virtually via telehealth for patients who are physically located in Wisconsin. We do not provide services outside of jurisdictions where we hold licensure, in accordance with state and federal laws.

Your Permitted Uses of Our Website Content

Unless otherwise expressly stated, The Healthy Place Clinic (or its licensors) owns the entirety of the content on this website. The content is protected by the United States, state, and worldwide copyright laws and treaty provisions. 

The Healthy Place Clinic hereby grants you a limited, personal, nonexclusive, and nontransferable license to use and display the content so long as you comply with these Terms & Conditions, and you do not modify, delete, or change any copyright, trademark, or other proprietary notice. Your conduct related to The Healthy Place Clinic’s content is subject to these Terms & Conditions and our Privacy Policy. 

Except as provided above, you may not: copy, reproduce, modify, use, republish, upload, post, transmit, or distribute any of the content, including any trademarks, names, logos, or intellectual property, and you may not redeliver or present any of the pages, text, images, or the content using “framing” technology, nor systematically retrieve data, information, or the content to create a collection, compilation, database, or directory.

Information That You Provide Via This Website

We have the right, but not the duty, to monitor your use of this website, including any information you provide through it. You are responsible for the information that you send, submit, or provide through our website. You agree not to transmit information that is illegal, threatening, libelous, defamatory, obscene, ethnically or racially offensive or discriminatory, profane, invasive of another’s privacy, or violative of any law or confidentiality agreement. 

We may or may not affirmatively monitor the information provided through this website, but if such information is brought to our attention, we may edit, delete, modify, or ban the information and take legal action against you.

Appointment Booking & Scheduling

We offer online scheduling for consultations and therapy appointments through our secure patient portal (provided by a HIPAA-compliant platform, Cerbo). Booking an appointment via our website or portal constitutes a request for services. Appointment confirmation is subject to our review – we reserve the right to accept or decline appointments. Your appointment is not final until you receive a confirmation email or message from us. 

Eligibility: By scheduling with us, you affirm that you (or the patient for whom you are booking) meet these criteria:

  • Age Requirement: You are 18 years of age or older, or you are the parent or legal guardian booking on behalf of a minor child. Minors (under 18) cannot legally consent to treatment; a parent/guardian must consent and accompany minors for services as required by law. By booking for a minor, you confirm that you are their legal guardian or have the authority to consent to their healthcare.

     

  • Accurate Information: You agree to provide true, accurate, and complete information at the time of booking and during the intake process. This includes your legal name, contact information, date of birth, and relevant medical history. If any information changes (e.g. your address or health status), you must promptly update us. Providing false information or impersonating another person is prohibited and could result in termination of services.

     

  • Appropriate Use: You will not use our scheduling system or services for any unlawful, fraudulent, or abusive purpose. Harassing staff, scheduling fictitious appointments, or repeatedly no-showing appointments may result in termination of your account. If we determine that our services are not suited to your needs or that you require a level of care we cannot provide, we reserve the right to cancel or refer you to an appropriate provider (for example, refer you to emergency care or a specialist).

Except for direct patient consultations with our providers, no information on this website (including blog posts, articles, FAQs, or downloadable resources) constitutes official medical advice. All health-related information provided on our site is for general informational and educational purposes only. It is not intended as a diagnosis, treatment, or a substitute for personalized medical advice from your own healthcare providers. 

Do not disregard professional medical advice or delay seeking it because of something you have read on our site. For instance, if you create an account on Fullscript to purchase supplements, your use of Fullscript is governed by their user agreement and privacy practices, not ours. We strongly advise you to review the terms and privacy policies of any third-party sites you interact with, especially those that involve entering personal information or purchasing products.

Limitation of Liability for Third-Party Interactions: The Healthy Place Clinic shall not be responsible or liable, directly or indirectly, for any damage, loss, or injury caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites. This includes any issues arising from purchases you make on external sites (such as product defects or billing disputes) or information you receive from other organizations. Cerbo Patient Portal: Our patient portal (Cerbo) is a third-party service that we have engaged for managing health records and communications. While it is integrated into our workflow and we consider it part of our services, note that when you use the portal, some data transmission and storage occur on Cerbo’s systems. We have a business associate agreement in place with this provider to protect your information, and they are held to HIPAA standards. However, you also agree to abide by any user terms that Cerbo might present when you create your account. If the portal is temporarily unavailable or experiences technical issues, we will do our best to assist, but such outages are often outside our direct control. We do not guarantee uninterrupted access to third-party systems.

PostPilot: We use PostPilot to send personalized direct mail and marketing communications. PostPilot may collect certain information, such as your name, mailing address, and purchase details, to create and deliver these mailings. Limitation of Liability

The Healthy Place Clinic, as well as our providers, staff, and affiliates, shall not be liable for any damages arising out of or related to your use (or inability to use) of our site or services except as provided by law. This includes, without limitation, any direct, indirect, incidental, consequential, special, or punitive damages, or damages for loss of data, profits, or goodwill. We provide our platform and services “as is” and without warranties of any kind, either express or implied, except that we guarantee our services will be provided with reasonable skill and according to standards of care (we do not waive liability for professional negligence). No Guarantee of Outcomes: By agreeing to receive care with us, you acknowledge that healthcare outcomes cannot be guaranteed. Any improvements in health are contingent on numerous factors outside our control (such as patient adherence, individual variations, etc.). Therefore, to the fullest extent permitted by law, you agree that The Healthy Place Clinic will not be held liable for outcomes that do not meet your expectations, provided we have delivered services in accordance with the applicable standard of care.

Third-Party Actions: The Healthy Place Clinic is not responsible for the actions or omissions of any third parties, including laboratories processing your tests, pharmacies dispensing your medications, or other providers to whom we refer you. While we strive to work with reputable partners, they are independent entities. Any issues or harm caused by a third-party service or product should be addressed with that third party. 

Indemnification: You agree to indemnify and hold harmless The Healthy Place Clinic and its directors, officers, employees, and agents from any claim or demand (including reasonable attorneys’ fees) made by any third party due to or arising out of your violation of these Terms or your misuse of our website. 

Maximum Liability: If, despite the above, The Healthy Place Clinic is found liable to you for any claim arising from the use of our website, our aggregate liability shall not exceed the amount you have paid us for goods or services in the last six (6) months, or $100, whichever is less. This limitation applies to the fullest extent permitted by law. 

Exceptions: Nothing in these Terms is intended to exclude or limit liability for matters that cannot be excluded under law. For example, we do not seek to limit our liability for gross negligence, willful misconduct, or any personal injury directly caused by our professional negligence. Wisconsin law may provide specific consumer rights and remedies that cannot be waived, and these Terms do not purport to waive any such non-waivable rights. However, to the extent you might have claims for breach of contract or other issues not involving personal injury, the above limitations will apply.

Release: By using our website, you agree to release and discharge The Healthy Place Clinic from any and all claims or causes of action, known or unknown, arising out of or in any way connected with the use of our website, except for claims or other liabilities that cannot be legally released. If you are a California resident (for example, using our site from California), you expressly waive California Civil Code §1542 (which says a general release does not extend to claims you do not know about), and similarly any other jurisdiction’s laws that may limit releases.

Intellectual Property Infringement

The Healthy Place Clinic respects intellectual property rights. Under a valid DMCA takedown notice, The Healthy Place Clinic will notify you if we have removed copyright-protected material. 

Under Section 512(f) of the Copyright Act, any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.

Governing Law and Dispute Resolution

These Terms & Conditions and any disputes arising out of your use of our website or services shall be governed by and construed in accordance with the laws of the State of Wisconsin, USA, without regard to its conflict of law principles. By engaging with The Healthy Place Clinic, you agree that if a dispute arises, we will first attempt to resolve it amicably through discussion or mediation if mutually agreeable. If we cannot reach a resolution, the following are the options for formal dispute resolution:

  • Option 1: Litigation in Wisconsin Courts. The Healthy Place Clinic and you (the patient or site user) agree that any lawsuit or legal action arising out of or relating to our relationship shall be brought exclusively in the state or federal courts located in Wisconsin. You consent to the personal jurisdiction of courts in Wisconsin for any such action and waive any objections to venue on the basis of inconvenience or otherwise. (If appropriate, a specific county like Dane County or the county of The Healthy Place Clinic’s principal location can be designated here.) This means you will file any suit in Wisconsin, and Wisconsin law will apply. Both parties give up the right to a trial elsewhere.
  • Option 2: Jury Trial: Under this option, disputes would be resolved by a judge or jury in court, unless the parties mutually agree to a bench trial or other arrangement.
  • Option 3: Binding Arbitration (Alternate Clause). In lieu of court litigation, The Healthy Place Clinic can provide an arbitration agreement for consideration. If (and only if) both parties agree to arbitrate: any dispute, claim, or controversy arising out of or relating to these Terms or the provision of services (including any claim of malpractice or breach of duty) shall be resolved by binding arbitration administered by [American Arbitration Association] in accordance with its rules for healthcare disputes. By agreeing to arbitration, both you and the clinic would waive the right to a jury trial and to participate in class actions. An impartial arbitrator (or panel of arbitrators) would decide the outcome, and the decision would be final and enforceable in court. Arbitration parameters (to be customized if this option is chosen): The site of arbitration would be in Wisconsin, and Wisconsin law would apply. Each party would bear its own attorneys’ fees and share arbitration costs (unless the arbitrator awards fees to the prevailing party as allowed by law). The arbitration award may be entered in any court with jurisdiction. 

Regardless of the method, this Governing Law clause means Wisconsin substantive law will govern the interpretation of these Terms and any disputes. If any provision of these dispute resolution terms is found unenforceable, that provision will be severed, and the remainder of the dispute resolution terms will remain in effect.

Time Limits: Any claim or cause of action you might have arising from your relationship with us must be filed within the statute of limitations applicable under Wisconsin law. We encourage patients to bring up any concerns as soon as they arise so that they can be addressed in a timely manner.

Miscellaneous Provisions

Severability: If any provision of these Terms & Conditions is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remainder of the Terms shall remain in full force and effect. In other words, if one part is stricken, the rest still applies.

Entire Agreement: These Terms & Conditions (along with our Privacy Policy, Notice of Privacy Practices, and any other policies or consents you sign during the course of treatment) constitute the entire agreement between you and The Healthy Place Clinic regarding the use of our website and services, superseding any prior agreements or understandings (oral or written) related to the same subject matter. Any other statements or promises by staff that are not contained in written policies are not binding. We may provide, and you may sign, additional specific agreements for certain services (for example, a specialized informed consent for IV therapy or a financial agreement for a package plan). Those agreements will apply in addition to these Terms, and in the event of a direct conflict, the specific agreement for that service will control.

No Waiver: Our failure to enforce any provision of these Terms shall not be considered a waiver of our rights. If we do not immediately act on a breach of these Terms by you, we are not giving up our right to act on that breach or any subsequent breach. All rights and remedies under these Terms are cumulative and do not exclude any other rights provided by law. Any waiver of these Terms or our Privacy Policy is valid only if it is in writing and signed by a principal of The Healthy Place. No such waiver shall be deemed a further or continuing waiver of such term or any other term or condition of use. 

Assignment: You may not assign or transfer your rights or obligations under these Terms to any other person. The Healthy Place Clinic may assign its obligations to an affiliate or successor entity in the event of a merger, acquisition, or other change in ownership, but will ensure that your rights to privacy and care quality are maintained.

Headings: Section titles or headings in this document are for convenience and organization only and have no legal effect.
